Terms of Service.

These Terms of Service ("Terms") form a binding agreement between you (or the organisation you represent) and QuantumShell Intelligence Private Limited ("QuantumShell", "we", "us"), the owner and operator of the JudicialMind product (the "Service").

By accessing or using the Service, you agree to these Terms. If you are accepting on behalf of an organisation, you represent that you have authority to do so, and "you" then refers to that organisation.

JudicialMind is software that helps legal and adjacent professionals carry out research, drafting, review, workflow and analysis tasks with the assistance of AI. It is software. It is not a law firm and does not provide legal advice. Using the Service does not create a lawyer-client relationship with QuantumShell.

You remain solely responsible for the use you make of the Service, including the review, verification and final use of any output.

You must provide accurate information to register and keep it up to date. You are responsible for maintaining the confidentiality of credentials and for all activity under your account.

You must be eighteen years of age or older to use the Service. The Service is intended for professional use.

You agree not to use the Service to: violate any law, regulation or professional rule; infringe intellectual property, privacy or other rights; upload malicious code or attempt to disrupt or probe the Service; circumvent access controls; resell, sublicense or make the Service available to third parties outside the scope of your plan; or train models that compete with the Service using our outputs.

You agree to use the Service consistent with applicable bar rules and professional responsibility obligations, including duties of competence, confidentiality, supervision and candour.

You retain all rights in the content you or your users submit to the Service ("Customer Content"). You grant QuantumShell a limited licence to host, process, transmit and display Customer Content solely to provide and support the Service and to comply with law.

You are responsible for ensuring that you have the rights and permissions needed to submit Customer Content and for complying with applicable privacy and confidentiality obligations.

The Service uses AI to generate outputs based on your inputs and on retrieved information. Outputs may contain errors, omissions, out-of-date information or misinterpretations. You must review outputs before relying on them, and no output should be treated as legal advice or as a substitute for the judgement of a licensed professional.

Where outputs include citations, you should verify that cited sources exist, remain good law, and support the propositions for which they are cited. The Service provides tooling to help you do this; the duty to verify remains yours.

Paid plans are billed as set out in your order form or plan description. Unless stated otherwise, fees are non-refundable, exclusive of taxes, and payable in advance for the applicable term.

We may adjust pricing for renewal terms with reasonable notice.

We may suspend or terminate access if you materially breach these Terms, if required by law, or to prevent harm to the Service or its users. We will give notice where reasonable and proportionate.

You may stop using the Service at any time. Termination does not relieve you of obligations already accrued, including fees due.

Each party will protect the other's confidential information with reasonable care and use it only to perform or use the Service. Customer Content is treated as confidential.

QuantumShell retains all rights in the Service, including software, documentation, interfaces, models we train and develop, and related know-how. No rights are granted except those expressly set out in these Terms.

Feedback you provide about the Service may be used by us without obligation.

The Service is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the Service will be uninterrupted or error-free, or that outputs will be accurate or complete.

To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data. Our aggregate liability arising out of or relating to the Service will not exceed the fees paid by you to us for the Service in the twelve months preceding the event giving rise to the claim.

These limitations apply even if a remedy fails of its essential purpose. Some jurisdictions do not permit certain limitations; in those jurisdictions, the limitations apply to the greatest extent permitted.

You will defend and indemnify QuantumShell against third-party claims arising out of your Customer Content, your use of the Service in breach of these Terms or applicable law, or your violation of a third-party right.

These Terms are governed by the laws of India. Disputes will be resolved in the competent courts at the registered office of QuantumShell Intelligence Private Limited, unless a written order form or enterprise agreement specifies otherwise.

Nothing in these Terms limits your non-waivable statutory rights as a consumer where such rights apply.

We may update these Terms from time to time. Material changes will be communicated through the product or by email where appropriate. Continued use after the effective date constitutes acceptance.
